ALERT: On December 3, 2024, the US District Court for the Eastern District of Texas issued a preliminary injunction stating that reporting companies nationwide are not required to comply with the CTA’s January 1st deadline for filing beneficial owner information. Please note this is a preliminary ruling that has been appealed by the Department of Justice. FinCEN acknowledges that they cannot require companies to file BOI reports at this time; however, they continue to accept voluntary submissions. You may read the government's response to the ruling here. Reporting companies should be aware that if the appeal is successful, the year end filing deadline could be reinstated.

Due to this fact as well as concern that the changing legal landscape may lead companies to wait to file, please be advised that we cannot guarantee that submissions and payments received after December 20, 2024 will be filed by the January 1st deadline. Beneficial Owner Reports will be filed in the order that they are paid and complete information is provided.
